THE BRAND AMPLIFIERS

PRIVATE STRATEGY + BRAND GUIDE SERVICE AGREEMENT

Effective Date: October 31, 2026

This Service Agreement governs the Private Strategy + Brand Guide engagement between The Brand Amplifiers (“TBA”) and the purchasing client (“Client”).

By completing the purchase and accepting this Agreement, Client acknowledges and agrees to the following terms.

1. ENGAGEMENT

Private Strategy + Brand Guide is one strategic engagement consisting of:

  • Six 90-minute private strategy sessions with Warrick and Takicha Roundtree
  • Strategic Directives following each session
  • Access to session recaps and engagement resources
  • The Private Strategy Client Guide
  • TBA’s professional creation and delivery of a completed Brand Guide based on the strategic decisions developed and approved during the engagement

The six sessions are part of one engagement and are not six separately priced consulting services.

2. PRIVATE STRATEGY SCOPE

Private Strategy is not a predetermined curriculum.

The work is shaped around the business in front of us and may move across areas including buyer clarity, positioning, messaging, offers, brand direction, marketing, content, customer experience, customer journey, CRM, automation, systems, and growth.

TBA’s role is to provide strategic judgment, pattern recognition, honest feedback, prioritization, frameworks, and guidance.

Client remains responsible for business decisions, implementation, progress, and follow-through except for the Brand Guide deliverable specifically included in this Agreement.

3. BRAND GUIDE DELIVERABLE

The Brand Guide is the included done-for-you deliverable within this engagement.

TBA will use the strategy, decisions, language, direction, and approvals developed throughout the engagement to create a professional Brand Guide that can serve as an ongoing source of truth for the Client, team members, contractors, vendors, and AI tools.

Depending on the strategy developed during the engagement, the Brand Guide may document areas such as:

  • Buyer
  • Positioning
  • Messaging
  • Brand voice
  • Buyer mirrors and moments
  • Visual direction
  • Strategic brand decisions
  • Dos and don’ts
  • Guidance for team members
  • Guidance for AI use
  • Other relevant brand standards or decisions developed during the engagement

The exact sections of the Brand Guide will reflect the strategy actually developed and approved during the engagement. Not every possible section listed above will necessarily apply to every business.

The Brand Guide is intended to document and organize approved strategic direction. It is not limited to logos, colors, or fonts.

4. WHAT THE BRAND GUIDE DOES NOT INCLUDE

The Brand Guide is the only done-for-you implementation included in Private Strategy + Brand Guide.

Unless separately scoped and purchased, this engagement does not include TBA’s implementation, production, management, or execution of additional assets or systems, including but not limited to:

  • Website design, development, or implementation
  • Marketing execution or campaign management
  • Content production or ongoing content planning
  • Email sequence implementation
  • CRM setup or management
  • Automation setup
  • Advertising
  • Photography
  • Video or production services
  • Full rebrand rollout
  • Logo(s)
  • Other agency or implementation services

If strategy developed during the engagement identifies a need for additional implementation by TBA, that work will require a separate scope, agreement, price, timeline, and deliverables.

5. CLIENT PARTICIPATION + DECISIONS

This engagement requires active Client participation.

Client agrees to provide:

  • Accurate and complete information
  • Relevant materials, files, links, and access when requested
  • Progress updates between sessions
  • Open communication about changes, blockers, or incomplete work
  • Timely decisions
  • Timely review and approval of strategic direction used in the Brand Guide

Client does not need to arrive with every answer figured out. However, TBA must receive enough accurate information and clear decision-making from the Client to complete the strategy and Brand Guide responsibly.

The Brand Guide will reflect the strategic decisions approved during the engagement.

6. APPROVALS + CHANGES IN DIRECTION

TBA may ask Client to confirm or approve strategic decisions during sessions or in writing before those decisions are incorporated into the Brand Guide.

Reasonable corrections or clarifications necessary to ensure that the Brand Guide accurately reflects previously approved decisions may be incorporated as part of finalization.

A request to substantially reopen, reverse, or replace previously approved strategy is not considered a simple correction.

If Client changes direction after a decision has already been approved, the additional strategic work may need to be addressed during any remaining Private Strategy session time or through a separately scoped engagement.

The Brand Guide is not intended to provide unlimited revisions or unlimited redevelopment of strategy after decisions have been approved.

7. BRAND GUIDE DEVELOPMENT + FINAL DELIVERY

The Brand Guide is developed from the work completed throughout the engagement.

TBA may begin organizing or drafting portions of the Guide before all six sessions are complete when sufficient strategic direction has been established.

Finalization depends on TBA having the decisions, materials, information, and approvals reasonably necessary to complete the Guide.

Once the applicable strategy has been developed and the necessary Client decisions and approvals have been received, TBA will finalize and electronically deliver the completed Brand Guide.

Delivery of the completed Brand Guide fulfills the included done-for-you Brand Guide deliverable under this engagement.

Future updates, ongoing maintenance, new strategic direction, or revisions requested after final delivery are not included unless separately agreed to in writing.

8. CLIENT DELAYS

TBA is not responsible for delays caused by missing Client information, materials, access, feedback, decisions, or approvals.

Client delays do not automatically extend the Private Strategy engagement period.

If Client does not provide information, materials, decisions, or approvals needed to complete portions of the Brand Guide before the engagement period ends, TBA may complete the Guide using the most recent approved strategy and materials reasonably available.

Work requiring new Client input, reopened strategy, or additional development after the engagement period may require a separately scoped engagement.

9. SIX-MONTH COMPLETION REQUIREMENT

All six Private Strategy sessions must be used within six months of the Client’s first Private Strategy session.

Unused sessions expire at the end of the six-month engagement period and are nonrefundable.

Rescheduling a session does not extend the six-month completion period.

Client is responsible for scheduling sessions with enough time to use all six sessions before expiration.

10. SCHEDULING + RESCHEDULING

Sessions are scheduled based on available appointment times.

Client should provide at least 24 hours’ notice when rescheduling a session.

Rescheduled sessions remain subject to availability and must still occur within the Client’s six-month engagement period.

11. STRATEGIC DIRECTIVES + BETWEEN-SESSION WORK

Strategic Directives are used to document priorities, recommendations, decisions, implementation steps, and progress between sessions.

Client is responsible for completing or managing implementation unless the work is specifically identified as part of the Brand Guide deliverable or separately contracted agency work.

Client should keep Strategic Directives current and provide accessible links to work they would like reviewed.

TBA reviews Strategic Directives one business day before each scheduled session. Materials, links, updates, or requests added within 24 hours of a session may not be reviewed in time and cannot be guaranteed for discussion during that session.

12. COMMUNICATION

Routine communication may include scheduling, brief questions, requested information, and updates.

Questions requiring deeper strategy, extensive review, substantial feedback, or a new business decision are generally addressed during a scheduled Private Strategy session.

Standard business hours are Monday through Friday, 9:00 AM to 5:00 PM Eastern Time.

Please allow up to one business day for a response. Messages received outside business hours are treated as received the next business day.

13. USE OF ARTIFICIAL INTELLIGENCE

TBA may use artificial intelligence tools during strategy work to support research, ideation, organization, drafting, and exploration of working language.

AI supports the process. It does not replace TBA’s strategic judgment or recommendations.

AI-generated material may be incomplete, inaccurate, or require refinement. Any AI-supported work used in the engagement is reviewed, interpreted, and shaped within the context of the Client’s business.

Client should not provide confidential, legally protected, or highly sensitive information for entry into an AI tool.

Client remains responsible for reviewing and approving final business decisions and implementation.

14. FEES + REFUND POLICY

Client agrees to pay the purchase price presented and accepted at checkout.

Client may request a refund in writing within 48 hours of purchase.

After the 48-hour refund window, the purchase is final and nonrefundable except where required by law.

Any exception granted outside the stated refund window is solely at TBA’s discretion. If an exception is approved, applicable payment processing or card fees may be deducted from the refunded amount.

Refunds do not apply to expired or unused sessions after the engagement has begun or to work already performed as part of the engagement.

15. CLIENT RESPONSIBILITY

TBA provides strategy, judgment, recommendations, frameworks, direction, and the completed Brand Guide described in this Agreement.

Client is responsible for determining whether and how recommendations are implemented within the Client’s business.

Client remains responsible for final business, legal, financial, operational, marketing, and implementation decisions.

16. SCOPE CHANGES

Requests that materially expand the engagement beyond the services described above are outside the scope of this Agreement.

Additional strategy, implementation, deliverables, or agency services may be proposed separately with their own scope, pricing, timeline, and terms.

17. ACCEPTANCE

By purchasing Private Strategy + Brand Guide and checking the service agreement acknowledgment at checkout, Client confirms that they have opened, read, understood, and agreed to this Private Strategy + Brand Guide Service Agreement.
